LLC (“Paragon Labs”, “we”, “us”, or “our”). KloudNine.IO enables adult creators (“Creators”)
to share, promote, and monetize their original content with users (“Fans” or “Subscribers”).
By creating an account, accessing, or using KloudNine.IO, you agree to comply with these
Terms of Service (“Terms”) and all related policies incorporated by reference. If you do not
agree to these Terms, you must not use the platform.
2. Age Verification and Adult Content Warning
2.1 Adult Material: KloudNine.IO contains sexually explicit adult material intended for users
18 years or older (or legal age of majority in your jurisdiction).

4.3 Independent Relationship: Creators are independent contractors, not employees of
Paragon Labs.
5. Content Guidelines and Restrictions
5.1 Permitted Content: Lawful adult content created by consenting adults.
5.2 Prohibited Content: Depiction of minors, non-consensual acts, revenge porn, sexual
exploitation, bestiality, incest, or illegal content is strictly forbidden.
5.3 Moderation: We may remove or restrict content at our discretion.
6. Model Release and §2257 Compliance
6.1 Compliance: Creators must comply with 18 U.S.C. §2257 record-keeping requirements.
6.2 Documentation: Two valid government-issued IDs for all participants.
6.3 Release Forms: Signed model release forms required for all individuals appearing in
content.
6.4 Custodian Responsibility: Creators are responsible for maintaining records.
7. Intellectual Property and Licensing
7.1 Ownership: Creators retain ownership of their original content.
7.2 License to Paragon Labs: Non-exclusive, worldwide, royalty-free license to host, display,
promote, and distribute content for platform functionality.
7.3 Prohibited Uses: Users may not copy or distribute content without consent.
7.4 DMCA: Compliant takedown and counter-notice procedures apply.
8. Transactions, Payments, and Refunds
8.1 Monetization: Creators earn from subscriptions, tips, pay-per-view content.
8.2 Platform Fee: Paragon Labs retains 20% service fee.
8.3 Third-Party Payment Providers: All payments are processed externally.
8.4 Refunds: All sales are final; chargebacks without valid reason may result in account
suspension and legal action.
8.5 Taxes: Creators are solely responsible for taxes.
9. Indemnification
Users and Creators agree to indemnify and hold harmless Paragon Labs International, LLC,
its affiliates, officers, and employees from any claims, damages, or losses arising from their
content, actions, or use of the platform.
10. Non-Disparagement and Confidentiality
10.1 Non-Disparagement: Users/Creators must not make false, negative, or disparaging
statements about the company.
10.2 Confidentiality: Keep private and proprietary information confidential.
10.3 Violation: Breaches may result in termination and legal remedies.
11. Acceptable Use
Prohibited activities include harassment, defamation, bots, scraping, malware, fraudulent
activity, and sharing content outside permitted uses.
12. Disclaimers and Limitation of Liability
12.1 Provided 'As-Is': KloudNine.IO is provided without warranties.
12.2 User Content: We are not responsible for user-generated content.
12.3 Limitation: Liability for claims is limited to $250 USD per claim and excludes indirect,
incidental, or punitive damages.
13. Emergency Suspension and Force Majeure
13.1 Emergency Suspension: We may immediately suspend accounts or content suspected
of illegal activity.
13.2 Force Majeure: Paragon Labs is not liable for platform unavailability due to events
outside reasonable control, including cyberattacks, natural disasters, or technical failures.
14. Arbitration and Governing Law
14.1 Binding Arbitration: All disputes resolved through binding arbitration in Pinellas
County, Florida.
14.2 Jury Trial Waiver: Users waive any right to a jury trial.
14.3 Governing Law: Terms governed by the laws of the State of Florida.
14.4 Severability: Invalid clauses do not affect the rest of the Terms.
15. Compliance with Laws
Users and Creators must comply with all applicable local, state, and federal laws regarding
adult content, copyright, and privacy.
16. AI / Deepfake Content
Any AI-generated content must be clearly labeled as such (#AI or #AIGenerated) and
comply with all other content policies. Users bear full liability for misuse or non-consensual
depiction.
17. User Representations and Warranties
Users/Creators must warrant that:
- All content is lawful and consensual.
- They are 18+ years old.
- Responsible for taxes, copyright, and privacy compliance.
- They will not share accounts or credentials.
18. Privacy and Data Handling
Paragon Labs collects minimal personal data required for account creation, payments, and
compliance. We are not liable for data breaches outside our control. Users consent to
collection and use of analytics data as necessary.
19. Third-Party Links and Integrations
Paragon Labs is not responsible for external links, third-party services, malware, or content
outside KloudNine.IO. Users access such services at their own risk.
20. Modifications to Terms
Paragon Labs may update Terms at any time. Continued use constitutes acceptance.
21. Miscellaneous Legal Protections
21.1 Entire Agreement: These Terms supersede prior agreements.
21.2 Severability: Invalid clauses do not affect remaining Terms.
21.3 No Guarantee: KloudNine.IO does not guarantee earnings, exposure, or engagement.
